Terms of Service

1. Acceptance of Terms

By accessing or using the Codexa application and the website at codexapro.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

Codexa is an AI-powered developer assistant application that provides code assistance, transcription, and other productivity features. The Service operates on a credit-based system where users purchase credits to access AI-powered features.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You may register using your email address or through a third-party authentication provider (such as Google). When using third-party authentication, you authorize us to access and use certain account information from that provider as described in our Privacy Policy.

4. Credits and Payments

  • Credits are purchased through the Service and are used to access AI-powered features.
  • All credit purchases are final and non-refundable, except as required by applicable law.
  • Credits do not expire unless your account is terminated for violation of these Terms.
  • We reserve the right to modify credit pricing at any time. Changes will not affect previously purchased credits.
  • Payment processing is handled by third-party payment processors. By making a purchase, you agree to the payment processor's terms of service.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Generate malicious code, malware, or content intended to cause harm
  • Attempt to gain unauthorized access to other accounts or systems
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated systems or bots to access the Service in an unauthorized manner
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell, redistribute, or sublicense access to the Service without authorization

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, code, and content, is owned by Codexa and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

6.2 Your Content

You retain ownership of the code and content you create using the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you. We do not claim ownership of your code or use it to train AI models.

7. AI-Generated Content

The Service uses third-party AI models to generate responses. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or suitable for your purposes.
  • You are responsible for reviewing and validating any AI-generated output before use.
  • We do not guarantee the quality, accuracy, or reliability of AI-generated content.
  • AI-generated code should be reviewed for security vulnerabilities and compliance with applicable licenses.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Codexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your account at our discretion if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users. Upon termination:

  • Your right to access the Service will immediately cease
  • Unused credits may be forfeited
  • We may delete your account data in accordance with our Privacy Policy

You may also delete your account at any time through the Service settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Mobile Messaging (SMS) Terms

These terms govern Codexa's text messaging program. They apply only if you opt in; nothing in this section applies to users who have not given consent.

13.1 Consent

By submitting your mobile number through our SMS sign-up form and checking the consent box, or by texting START to +1 (928) 414-8215, you agree to receive recurring automated text messages from Codexa at that number. Consent is not a condition of purchasing any product or service. You represent that you are the subscriber of, or are authorized to consent on behalf of the subscriber of, the number you provide, and that you will notify us if you give up that number.

13.2 Message Types and Frequency

Messages may include account and security alerts, billing and credit notices, appointment reminders, hiring process updates, product updates and new releases, and promotional offers. Msg frequency varies, because messages are triggered by activity on your account rather than sent on a fixed schedule.

13.3 Cost

Message and data rates may apply. Codexa does not charge for text messages, but your mobile carrier may charge you for sending or receiving them under your plan. Contact your carrier for details about your plan.

13.4 Cancellation and Help

  • Reply STOP to any message to cancel. You will receive a single confirmation text and no further messages. To rejoin, text START to +1 (928) 414-8215.
  • Reply HELP to any message, or email support@codexapro.com, for help.
  • We may suspend or terminate your participation in the messaging program at any time without notice.

13.5 Delivery and Carriers

Message delivery is subject to effective transmission by your mobile carrier and is outside our control. Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, Verizon Wireless, T-Mobile, Sprint, Boost, U.S. Cellular, MetroPCS, and others.

13.6 Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. We do not sell, rent, or otherwise disclose mobile phone numbers or SMS consent to any third party, other than the messaging service providers that transmit messages on our behalf.
